Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nanogoals AI mobile application ("App") operated by Nanogoals ("we," "our," or "us").

By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Description of Service

Nanogoals AI is an AI-powered goal management application that helps you:

• Break down large aspirations into personalized phase-based plans
• Execute daily micro-steps with gamified tracking (XP, streaks, badges, levels)
• Receive AI coaching through text conversations and voice sessions
• Generate personalized content including lessons, workouts, recipes, and quizzes
• Track progress through multiple board types (habit, fitness, learning, project, journey)

The App uses artificial intelligence provided by third-party services (Google Gemini and DeepSeek) to generate coaching responses and content. AI outputs are for informational and motivational purposes only.

2. Eligibility

• You must be at least 13 years old (or 16 in the EU/EEA) to create an account and use the App.
• If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.
• By creating an account, you represent that the information you provide is accurate and complete.

3. Account Registration and Security

3.1 Account Creation

You may create an account using:

• Email address and password
• Google Sign-In

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

• You must notify us immediately at support@nanogoals.app if you suspect unauthorized access to your account.
• We are not liable for losses arising from unauthorized use of your account where you have failed to maintain credential security.
• We reserve the right to suspend or terminate accounts that show signs of unauthorized access.

3.3 One Account Per Person

Each person may maintain only one account. Creating multiple accounts to circumvent subscription limits, credit allocations, or referral program rules is prohibited and grounds for termination.

4. Subscription Plans and Payments

4.1 Available Plans

Prices are in USD and may vary by region based on App Store and Google Play pricing.

4.2 Free Trial

• New subscribers may be eligible for a 7-day free trial of paid plans.
• You will not be charged during the trial period.
• If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription.

4.3 Billing and Renewal

• Subscriptions are billed through Apple App Store or Google Play Store, not directly by us.
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
• Payment is charged to your Apple ID or Google Play account at confirmation of purchase.
• We do not process or store your payment information directly.

4.4 Cancellation

• You may cancel your subscription at any time through your device's subscription settings:
  • iOS: Settings > Apple ID > Subscriptions
  • Android: Google Play Store > Subscriptions
• Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.
• We cannot cancel subscriptions on your behalf. Only Apple or Google can process subscription cancellations.
• No partial refunds are provided for unused portions of a billing period, except as required by applicable law or platform policies.

4.5 Plan Changes

• You may upgrade or downgrade your plan at any time.
• Upgrades take effect immediately. Downgrades take effect at the next billing cycle.
• When downgrading from a paid plan to Free, you will retain access to paid features until the end of your current billing period. After that:
  • Goals exceeding the Free tier limit (2) will remain but you cannot create new ones.
  • AI credit allocation will adjust to the Free tier amount (50/month).
  • Streak shields will no longer be available.

5. AI Credits

5.1 Credit System

AI credits are a virtual currency used to generate AI-powered content within the App (lessons, workouts, recipes, quizzes, guided sessions).

5.2 Credit Usage

• Each content generation costs 1-2 credits depending on content type.
• Credits are deducted before content generation begins.
• If content generation fails, credits are automatically refunded.
• Credits reset on the first day of each calendar month.

5.3 Earning Additional Credits

• Referral program: Earn 20 credits when someone you refer completes their first session. The referred user receives 10 credits.
• Daily sharing: Earn 10 credits for your first share of each day.

5.4 No Monetary Value

AI credits have no monetary value and cannot be exchanged for cash, transferred to other users, or used outside the App.

6. User Content

6.1 Your Content

You retain full ownership of all content you create within the App, including:

• Goal descriptions and aspirations
• Notes and journal entries
• Session feedback
• Coach conversation messages

6.2 License to Us

By using the App, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display your content solely for the purpose of:

• Providing the App's services to you
• Sending your content to AI providers (Google Gemini, DeepSeek) for coaching and content generation
• Generating personalized recommendations and daily guidance

We do NOT use your content to train AI models, share with other users, or for advertising purposes.

6.3 AI-Generated Content

Content generated by the AI (lessons, workouts, recipes, coaching responses) is provided "as is" for your personal use. You may use AI-generated content freely for personal purposes but you may not:

• Republish AI-generated content commercially without attribution
• Claim AI-generated content as professionally certified advice (medical, legal, financial, etc.)

7. Acceptable Use

You agree NOT to:

• Use the App for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems, other users' accounts, or third-party services
• Interfere with, disrupt, or create an undue burden on the App or its infrastructure
• Upload malicious content, viruses, or harmful code
• Use the App to harass, abuse, or harm others
• Attempt to reverse-engineer, decompile, or extract source code from the App
• Circumvent subscription limits, credit allocations, or any access restrictions
• Use automated tools, bots, or scripts to interact with the App
• Impersonate another person or entity
• Use the AI coach to generate content that is illegal, harmful, or violates third-party rights
• Attempt to manipulate the AI into generating harmful, discriminatory, or inappropriate content

We reserve the right to suspend or terminate accounts that violate these terms without notice.

8. Health and Fitness Disclaimer

IMPORTANT: The App is not a medical device and does not provide medical advice.

• The App is not a substitute for professional medical, psychological, fitness, or nutritional advice.
• AI-generated workout plans, recipes, and coaching suggestions are general guidance, not personalized medical recommendations.
• Always consult a qualified healthcare professional before starting any exercise program, especially if you have pre-existing health conditions, injuries, or dietary restrictions.
• You use fitness-related features at your own risk. We are not responsible for injuries, health issues, or adverse effects resulting from following AI-generated fitness content.
• If you experience pain, dizziness, or any concerning symptoms during exercise, stop immediately and seek medical attention.

9. Referral Program

9.1 How It Works

• You can generate a unique referral code within the App and share it with others.
• When a new user signs up with your referral code and completes their first session, you earn 20 AI credits and they receive 10 AI credits.

9.2 Rules

• You may not create multiple accounts to exploit the referral program.
• You may not spam, mislead, or deceive others into using your referral code.
• We reserve the right to revoke referral credits and suspend accounts that abuse the referral program.
• Referral credits have no monetary value and are subject to the same terms as regular AI credits.

10. Intellectual Property

10.1 Our Property

The App, including its design, features, code, branding, icons, and original content, is owned by Nanogoals and is protected by international copyright, trademark, and other intellectual property laws.

The Nanogoals AI name, logo, and brand elements are trademarks of Nanogoals. You may not use them without our prior written permission.

10.2 Third-Party Content

The App may include content from third-party sources (AI-generated content, fonts, icons). Such content remains the property of its respective owners and is used under applicable licenses.

11. Privacy

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the App, you acknowledge that you have read and understood our Privacy Policy.

12. Account Deletion

12.1 Your Right to Delete

You may delete your account at any time through Settings > Delete Account within the App.

12.2 What Happens When You Delete

Upon account deletion:

• All your personal data is permanently deleted from our servers within 30 days.
• This includes: goals, sessions, coach conversations, preferences, coaching profile, badges, streaks, credit history, referral data, and notification settings.
• Database backups containing your data are purged within 90 days.
• Data previously sent to third-party AI providers (Google, DeepSeek) is subject to their retention policies.

12.3 Subscription Cancellation

Deleting your account does NOT automatically cancel your subscription. You must cancel your subscription separately through:

• iOS: Settings > Apple ID > Subscriptions
• Android: Google Play Store > Subscriptions

If you delete your account without canceling your subscription, Apple or Google may continue to charge you. We cannot issue refunds for charges that occur after account deletion if the subscription was not canceled.

12.4 Irreversibility

Account deletion is permanent and cannot be undone. We strongly recommend exporting your data (Settings > Data & Privacy > Export Data) before deleting your account.

13. Limitation of Liability

13.1 Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, error-free, or secure
• AI-generated content will be accurate, complete, or appropriate
• The App will meet your specific requirements
• Results obtained from the App will be accurate or reliable

13.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NANOGOALS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR PERSONAL INJURY, ARISING FROM:

• Your use of or inability to use the App
• AI-generated content or coaching recommendations
• Unauthorized access to your account
• Errors or omissions in the App's content or functionality
• Any third-party services integrated with the App

Our total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid to us in the 12 months preceding the claim, or $50, whichever is greater.

13.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Nanogoals, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or share through the App

15. Termination

15.1 By You

You may stop using the App at any time by deleting your account.

15.2 By Us

We may suspend or terminate your account at any time if:

• You violate these Terms
• You engage in fraudulent or abusive behavior
• Required by law or a valid legal process
• We discontinue the App or any part of it

We will make reasonable efforts to notify you before termination, except where immediate action is required (e.g., security threats, legal requirements).

15.3 Effect of Termination

Upon termination:

• Your right to use the App ceases immediately
• We may delete your data in accordance with our Privacy Policy
• Provisions that by their nature should survive termination (including Limitation of Liability, Indemnification, and Intellectual Property) will survive

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

• We will update the "Last Updated" date at the top.
• We will notify you via in-app notification or email at least 14 days before the changes take effect.
• If you continue to use the App after the changes take effect, you accept the updated Terms.
• If you disagree with the changes, you may delete your account before they take effect.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the jurisdiction in which Nanogoals is established, without regard to conflict of law principles.

17.2 Dispute Resolution

We encourage you to contact us first at legal@nanogoals.app to resolve any disputes informally. If informal resolution is unsuccessful:

• For users in the EU/EEA: You may refer the dispute to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
• For all other users: Disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except where prohibited by law.

17.3 Class Action Waiver

To the maximum extent permitted by law, you agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative proceedings.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nanogoals regarding the App.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or internet/infrastructure failures.
